2. Account Registration & Security

To deploy agents and access administrative dashboards, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and API keys. Any activity conducted through your authenticated sessions or API tokens is deemed your sole responsibility. You agree to notify us immediately of any unauthorized breach or credential compromise.

3. Acceptable Use Policy

You agree not to configure or deploy agents that:

• Violate any applicable local, national, or international laws or regulations.
• Impersonate human beings without clear disclosure when interacting with end-users in automated support or sales contexts where transparency is legally mandated.
• Generate or distribute unsolicited spam, malware, phishing attempts, or engage in automated denial-of-service activities.
• Circumvent rate limits, authentication barriers, or security guardrails established on integrated third-party platforms.
• Facilitate unlawful surveillance, credit scoring violations, or discriminatory employment screening.

5. Subscription, Invoicing & Cancellations

Paid subscription plans are billed in advance on a monthly or annual billing cycle. Usage overages (such as additional monthly message allotments, vector storage expansions, or extra team seats) are calculated and billed at the conclusion of each billing period according to our current published pricing.

You may cancel your subscription at any time via your dashboard billing panel. Cancellations take effect at the conclusion of your active billing period, and no partial refunds are issued for unused intervals.

6. Service Availability & SLA

We strive to maintain an infrastructure availability standard of 99.9% for our agent runtime APIs. For enterprise customers with custom Service Level Agreements (SLAs), financial credits for unplanned outages are governed by the terms specified in their active Enterprise Order Form.

7. Disclaimer of Warranties & Limitation of Liability

AI agents utilize probabilistic foundation models that may occasionally produce unintended, erroneous, or unexpected outputs ("hallucinations"). You are solely responsible for implementing adequate human oversight, test validation, and programmatic guardrails before deploying autonomous actions into critical production environments.

To the maximum extent permitted by law, AgentFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from autonomous agent behaviors or service disruptions.

8. Termination & Suspension

We reserve the right to suspend or terminate your access to the Services immediately, with or without notice, in the event of any material breach of these Terms, non-payment of outstanding invoices, or activity that threatens the security and stability of our multi-tenant network.

9. Governing Law & Jurisdiction

These Terms shall be governed and interpreted in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action arising hereunder shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.
